Governance

CEHL is a registered housing association and not-for-profit organisation, limited by shares.  It acts as the manager of the Co-operative Housing Program within the constraints of Corporations Law, its funding agreement with the Office of Housing and the Housing Act 1983 (the Act), the Program Principles and the policy directions of its Board of Directors. 

Each member co-operative holds a single share in CEHL and has a single vote at any shareholder meetings, including the Annual General Meeting of the company.

The Board of Directors are responsible for the strategic management and financial performance of the organisation.

The Board is made up of:

  • Five co-op elected directors, elected by the CEHL shareholder housing co-operatives at the Annual General Meeting (elected for a two-year term)
  • Five appointed directors are appointed by the Board based on their expertise in one of the following areas; Law, Finance, Real Estate, Social Housing or other like disciplines. Technical Directors are appointed for two-years
  • The Managing Director, who is appointed by the Board

Committees, made up of Board members and independent consultants, meet regularly to progress strategic initiatives in:

  • Property
  • Finance, Audit and Risk
  • People, Compliance and Governance
  • Co-op Board Advisory

From time to time, the Board instructs CEHL to appoint an Advisory Group to consult with members on issues of Program significance. Advisory Groups are made up of co-op members, an independent Chair, and technical experts (if required).

The CEHL Board approves a Shareholder Report of board meetings to be made available to member co-ops.

CEHL complies with the Victorian Housing Registrar's Performance Standards and legislative requirements as prescribed in the Housing Act 1983 (the Act).

    Fiona Herman holds a Bachelor of Health (Nursing) and a Master of Health and Human Services Management and has been an integral CEHL Co-operative member since 1999. She is currently a member of Endeavour CERC.

    Beth has been a member of CEHL Co-operative Housing since 2008 and held various roles on the Satellite CERC Board. Beth also participated in PAC for over two years and went on to be a member of CBAC.

    Damian Dickson’s background as a Welfare and Community Development worker has influenced his contribution to the CEHL co-operative housing community. He is Chair of Sun CERC and a past member of Earth CERC; he was also a member of the planning committee for the Murundaka housing development. Damian is a Board Finance, Audit, and Risk Committee member.

    Joe’s program membership spans over 30 years, across two Co-operatives in which he has actively served in a range of roles and director positions. Joe also served on PAC for eight years that has continued CBAC, providing a valuable opportunity to share his extensive program knowledge and commitment to co-operative principles.

    Jean Nankin’s qualifications include a Bachelor of Economics from Monash University, a Graduate Diploma in Urban & Regional Planning from RMIT, and a Graduate Diploma in Property from RMIT. With over 25 years of professional experience in property acquisition and development in the retail, social housing, and state government sectors, Jean makes a valuable contribution as a CEHL Board Property Committee member.

    Keith Bayliss has over 30 years of experience in the property industry and as Chairperson of the CEHL Board Property Committee, he offers valuable expertise and insights. Keith’s qualifications include being a Graduate of the Australian Institute of Company Directors, an Associate of the Australian Property Institute, a Member of the Royal Institute of Chartered Surveyors and a Certified Practicing Strata Manager. He holds an Associate Diploma in Valuations.

    A Barrister and Senior Counsel, Michael Pearce, brings an important legal perspective to the Board’s deliberations. He is strongly committed to social justice, which aligns well with CEHL’s core purpose. Michael is a member of the CEHL Board Property Committee.

    Tony De Domenico is the chairperson of the People, Culture, and Governance Board Committee. He has a broad range of industry experience, including as Chair of AHURI, Deputy Chairo f Development Victoria, and CEO of the Urban Development Institute of Australia (Vic). He is currently a Director of Housing Australia.

    Sylwia has been a Castle CERC member since 2013. She was a member of the Australian Multicultural Advisory Council (2008-2012), a member of the Department of Human Services Vic Multicultural Advisory Committee and a member and Deputy Chair of the Australian Multicultural Centre for Women’s Health. Sylwia is also the Chair of PolCare, an aged care service provider. Sylwia received an Order of Australia Medal in 2019 for her contributions to the Polish community of Victoria.

    Liz Thomas became Managing Director of CEHL in November 2021, leveraging her extensive leadership and governance expertise gained over two decades as a CEO and professional Company Director. Liz holds a Bachelor of Arts Degree and is a Graduate of the Australian Institute of Company Directors.
